The Services are intended for licensed healthcare providers, clinics, and authorized staff. You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account.

If you register on behalf of a clinic, you represent that you have authority to bind that organization. Clinics are responsible for:

• Obtaining appropriate patient consents and lawful bases for processing health data
• Ensuring staff use the Services in compliance with applicable healthcare laws and regulations
• Accuracy of data entered into the system
• Configuring integrations (including Google Calendar) appropriately for their practice
• Training staff on proper use of AI-assisted features before clinical reliance

You agree not to:

• Use the Services for unlawful, fraudulent, or harmful purposes
• Attempt to access another clinic's data or bypass security controls
• Reverse engineer, scrape, or overload the Services except as permitted by law
• Upload malware or content that infringes third-party rights
• Resell or sublicense the Services without written authorization

Paid plans are billed according to the pricing shown on our website or in your order form. Fees are non-refundable except where required by law or explicitly stated. We may change pricing with reasonable notice. Free tiers may include usage limits.

The Services may integrate with third-party products (including Google Calendar, payment gateways, SMS/email providers, and AI services). Your use of third-party services is subject to their terms. CliniqHQ is not responsible for third-party outages or policy changes. You may disconnect integrations at any time from your clinic settings.

CliniqHQ retains all rights in the Services, software, branding, and documentation. Clinics retain ownership of their clinic data and patient records entered into the platform. You grant CliniqHQ a limited license to host, process, and display your data solely to provide the Services.

We handle clinic and patient data in accordance with our Privacy Policy and applicable agreements. Where clinics require a Business Associate Agreement (BAA) or data processing agreement, contact legal@cliniqhq.com.

AI-generated content is provided as a documentation aid only. Clinics and licensed providers remain solely responsible for clinical decisions, diagnoses, prescriptions, and patient care. AI outputs should be reviewed before use in medical records or patient communications.

We strive for high availability but do not guarantee uninterrupted access. Maintenance, upgrades, or events beyond our control may cause temporary downtime. Support levels depend on your subscription plan.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINIQHQ WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID CLINIQHQ IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless CliniqHQ from claims arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights, except to the extent caused by CliniqHQ's gross negligence or willful misconduct.

You may stop using the Services at any time. We may suspend or terminate access for material breach, security risk, or non-payment. Upon termination, access ends and data may be deleted after any applicable export or retention period.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in Bhubaneswar, Odisha, India shall have exclusive jurisdiction, unless otherwise required by mandatory law.

We may modify these Terms by posting an updated version on this page. Continued use after changes become effective constitutes acceptance. Material changes may be notified by email or in-product notice.
